Governance and Transparency at Batin

This page explains how the association Batin is governed, and how we keep the work open. It is meant to be easy to verify for members, contributors and funders.

- Founded: 26 June 2026 in Fredrikstad, Norway
- Purpose: to advance digital freedom, privacy and open source, made freely available to the public. Full wording in the statutes, § 2 (Statutes).

How we are governed
- The annual meeting is the association's highest authority and is held every year. Each member has one vote.
- The board (2 to 7 members) runs the association between annual meetings.
- Current board:
- Issa Ibrahim, chair (Fredrikstad)
- Hanan Abdel Ilah Ibrahim, board member (Fredrikstad)
- Bashyr Al Mughrabi, board member (Halden)
- Signatory rights: the chair alone, or two board members jointly.

How decisions are made
- The board has a quorum when a majority attends. Decisions are made by a majority of votes, and the chair has a casting vote in the event of a tie.
- Conflicts of interest are handled under the impartiality part of the Privacy and Impartiality Policy: the person the case concerns steps out of the handling.
- Decisions are recorded in the board minutes.

We do not publish the home addresses of members or board members here. They are held in the signed founding document and in public registries (the Norwegian Register of Legal Entities).

Requesting insight
Everything in the list below is published unprompted. If you want to see more, for example board minutes not yet published, the vouchers behind an accounting figure, or the basis for a decision, email kontakt@bat1n.com stating what you want to see and why.
- The board replies within 30 days.
- The starting point is yes. A refusal requires a reason (typically personal data, conduct cases under the Code of Conduct, or agreements with confidentiality duties), and the reason is given in writing.
- Members additionally have the rights the statutes give them at the annual meeting.

Current status
The association is newly founded (June 2026). The bank arrangement is being set up, and we have not yet applied for or received funding. We are building the governance foundation first, so that the association is trustworthy before product work is funded and carried out by employed engineers.
